SAAB TO RELOCATE U.S. AUTOMOTIVE HEADQUARTERS TO ATLANTA AREA

William S. Kelly Named President and Chief Executive Officer, Saab Cars, USA, Inc.

September 30, 1991 — Saab Automobile AB, the Swedish manufacturer of Saab 900 and 900 automobiles, has announced that it will relocate its U.S. automotive headquarters from Orange, Connecticut, to the Atlanta, Georgia area.

Saab has selected the Atlanta area–the fastest growing business center and transportation hub of the Southeast–for its new U.S. headquarters site since it offers the opportunity to better balance operating overhead through more favorable cost structures, tax rates, and property values. Cost advantages are also anticiapted for various support services.

According to Hans Halbach, executive vice president, sales and marketing, Saab Automobile AB, Trollhattan, Sweden, who also serves as chairman, Saab Cars USA, Inc., “Like the many other proactive measures that Saab has recently taken to improve long-term competitiveness, the initiative to relocate the Saab Cars USA, Inc. headquarters is an important mesure to improve our business effectiveness and overall cost efficiency.”

Saab Automobile AB previously improved its productivity by consolidating the majority of its car manufacturing activity into a single facility in Trollhattan, turning to greater outsourcing of components and subsystems, and centralizing all parent company administative functions to its base in Sweden.

With the relocation, the Saab Cars USA, Inc. headquarters will function with a leaner organization which will be targeted to serve and support the Swedish automaker’s 317 American dealers. Saab also plans to take a progressive approach to restructure its field organization, making it more commercialy and customer service oriented. This new focus of the field force is being designed to help Saab dealers improve their performance and profitability.

Mr. Halbach further stated, “Saab is taking this action now, while its U.S. sales performance is essentially equivalent to last year, to prepare itself for the increased competition that is projected for the decade ahead and to position the organization in the United States to support the new range of Saab automobiles which will arrive in the beginning of the mid-90’s.”

Saab intends to start up its new Atlanta-based operation on or about April, 1992. A specific new headquarters site has yet to be selected.

William S. Kelly Named President and Chief Executive Officer, Saab Cars, USA, Inc.

In conjunction with this announcement, William S. Kelly, 43, has been named president and chief executive officer, Saab Cars USA, Inc, succeeding Sten Helling who has chosen to remain in Connecticut, and will leave Saab after 11 years of dedicated service with the company.
Mr. Kelly previously served as vice president, sales and marketing, for the Swedish automobile manufacturer’s U.S. subsidiary. Prior to that, Kelly was Saab’s national sales manager in the United States and held various Saab field positions. He first joined Saab in 1980, and has a broad background in dealer relations.

Jan-Ake Jonsson, 40, will assume the position of vice president, sales and marketing, Saab Cars USA, Inc., and will report directly to Mr. Kelly. Before this appointment he was manager, North America Coordination, Saab Automobile AB, and served as the principal liaison between Saab’s U.S. sales and marketing activity and the Swedish parent company.

SAAB’S ROBERT J. SINCLAIR ANNOUNCES RETIREMENT

Sten Helling Named President and Chief Executive Officer

Orange, Conn — Robert J. Sinclair, 59, chairman and chief executive officer of Saab Cars USA, Inc. has announced his retirement after more than three decades as a high-profile, imported automotive executive. Well known for his dynamic nature and varied avocations, effective September 1, 1991, he will spend his retirement pursuiing such interests full-time.

Sten Helling, 53, president and chief operating office of Saab Cars USA, Inc. will assume the added responsibilities of chief executive officer. Succeeding Sinclair as chairman of the board, Saab Cars USA, Inc. will be Hans Halbach, who will continue his position as executive vice president, sales & marketing, of Saab Automobile AB in Trollhattan, Sweden.

According to Sinclair, “It has never been my plan to work to the traditional retirement age of 65, as I have many and varied personal interests that business pressures have kept me from pursuing to the degree to which I’d like.” He continued, “I love fly fishing. A leading automotive journal recently summed it up when it quoted me as saying, “It takes ten minutes to tie a fly. I don’t have ten minutes.”

Sinclair first joined Saab in March, 1958 as one of the Swedish automaker’s first field representatives when the company was known as Saab Motors, Inc. He further served as public relations manager and advertising manager. In 1962, Sinclair accepted a position at Volvo. He went onto assume the role of president of Volvo’s Western U.S. distribution company, which was baed in California. There he created a strong and effective network of dealers, dramatically increasing sales volume.

Sinclair rejoined Saab in 1979 as the importer’s president, and helped change the Swedish automaker’s image from that of a producer of economical, small cars to the upscale, performance contender that it is today.

Under his guidance, Saab enjoyed 60 consecutive months of retail sales records during the 1980’s, and also introduced the high-performance Saab 9000 series to the U.S. market. A source of great pride for Sinclair is the Saab 900 Convertible, which he conceived and proposed to management in Sweden, and which has gone on to achieve the popularity it enjoys today. It recently surpassed the 25,000-unit production mark.

Sweden’s King Carl Gustav XVI named Sinclair a Commander of the Polar Star in 1986, the highest honor present to persons other than heads of state for economic, cultural, or academic contributions to Sweden.

In July, 1990, Robert J. Sinclair was named chairman and chief executive officer of Saab Cars USA, Inc.

Sten Helling

Sten joined Saab in 1980 as national manager of sales and marketing, and appointed vice president of sales and marketing and an officer of the corporation in October of the same year. Under his direction, Saab passenger-car sales grew from 14,5000 units to 47,000 within a six-year period. He was appointed to the position of executive vice president, sales and marketing in 1987.

Sten Helling was named president and chief operating officer, Saab Cars USA, Inc. in July, 1990.

Immediately prior to joining Saab, Helling was national sales manager for Volvo of America, where he held a number of sales management positions since joining that company in 1965. He first began working at AB Volvo/Sweden in 1963.
